GENERAL CONDITIONS OF SALE

These conditions of sale ( Conditions ) apply to all quotations given and orders accepted by Samsung
Electronics Nordic AB ( SAMSUNG ) for orders placed by a customer ( Customer ) and shall, together with any main contract, commercial agreement or purchase order with
Customer for the supply, use or distribution of products,
constitute the entire contract between the parties (the
Contract ) with respect to the matters set forth in the
Contract. The Contract is not intended to govern the subsequent distribution of SAMSUNG s products by
Customer.
The Contract will be subject to these Conditions exclusively.
These Conditions supersede any conflicting terms stipulated or referred to by Customer in its order, pre-contract negotiations or in any other document. No variation or modifications of the Contract shall be effective unless agreed in writing by an executive officer of SAMSUNG.

All orders for products shall be evidenced by Customer s firm purchase orders and shall be subject to these Conditions and to SAMSUNG s then current prices. By placing each order hereunder, Customer confirms its agreement with and acceptance of all Conditions.

No order for products shall be binding on SAMSUNG unless and until SAMSUNG has accepted Customer's order by sending a written order confirmation. Estimated time for delivery will be specified in SAMSUNG s order confirmation. SAMSUNG will update Customer of order status due for delivery by regular e-mail.
5.
SAMSUNG shall be entitled to reject the order (without notice and without liability), for any reason or no reason at all. In case of any capacity constraints, SAMSUNG further reserves the right to postpone and reschedule deliveries and also make partial delivery on confirmed orders.
